Terms governing use of yaihq.com and the yAI platform.
Acceptance
These Terms of Service (“Terms”) govern your access to and use of yaihq.com and any other websites, products, or services provided by WhyAI Technologies, Inc. (“yAI,” “we,” “us”). By accessing the website or engaging the platform, you agree to these Terms. Use of the yAI platform by a customer firm is additionally governed by a separate written agreement (the “Customer Agreement”), which controls in case of conflict.
Service description
yAI is an AI platform for regulated finance firms that produces cited documents, slides, and tables. The platform deploys per tenant into the customer firm's Azure or AWS cloud, with isolated model endpoints and immutable audit trails. The website (yaihq.com) provides product information, case studies, and demo scheduling.
Eligibility
The platform is intended for use by businesses and their authorized personnel. By accepting these Terms, you represent that you are at least 18 years old and authorized to bind your organization to these Terms.
Acceptable use
You agree not to:
- Use the platform or website in violation of applicable law or regulation.
- Reverse engineer, scrape, or attempt to discover the source code or models, except as expressly permitted by law.
- Probe, attack, or interfere with the security or integrity of the platform or website.
- Use the platform to generate content that infringes third-party rights, defrauds, or harms any person.
- Misrepresent yAI outputs as independently authored without disclosure required by your firm's policies or applicable regulation.
Customer data and outputs
Customer firm data resides in the customer's own cloud tenant and remains the customer's property at all times. We do not train models on customer firm data. Outputs generated by the platform from customer firm data are also the customer's property, subject to the Customer Agreement and to applicable law and regulation governing the customer's use of those outputs.
Intellectual property
The yAI platform, including all software, models, workflows, templates, designs, documentation, and trademarks, is the intellectual property of yAI or its licensors. We grant the customer a limited, non-exclusive, non-transferable license to use the platform in accordance with the Customer Agreement. No other rights are granted by implication.
Confidentiality
Each party will protect the other's confidential information using at least the same care it uses for its own confidential information of like kind, and will use it only for the purposes contemplated by these Terms or the Customer Agreement.
AI output disclaimer
AI-generated content can contain errors, omissions, and biases, including in cited claims. Customer firms are responsible for reviewing platform outputs before relying on them for investment, trading, advisory, or regulatory purposes. yAI does not provide investment, legal, tax, or accounting advice. Use of platform outputs is subject to the customer's own internal review, supervision, and compliance processes.
Disclaimer of warranties
To the maximum extent permitted by law, the website and platform are provided “as is” and “as available,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, or that the service will be uninterrupted or error-free. Specific warranties, if any, are set out in the Customer Agreement.
Limitation of liability
To the maximum extent permitted by law, yAI will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, data, or goodwill, arising out of or relating to your use of the website. yAI's aggregate liability arising out of or relating to your use of the website will not exceed one hundred US dollars (US $100). Specific liability terms for customer firm use of the platform are set out in the Customer Agreement.
Indemnification
You agree to indemnify and hold yAI harmless from claims arising out of your violation of these Terms or your misuse of the website. Customer indemnification obligations relating to the platform are set out in the Customer Agreement.
Termination
We may suspend or terminate your access to the website at any time if you violate these Terms or as otherwise required by law. Termination of the platform is governed by the Customer Agreement.
Governing law
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles. The exclusive venue for disputes arising out of these Terms is the state and federal courts located in Delaware. The governing law and venue for the platform are as set out in the Customer Agreement.
Changes to these terms
We may update these Terms as our services and legal obligations evolve. Material changes will be reflected in the “Last updated” date above and, where appropriate, communicated to customers directly. Continued use of the website after a change constitutes acceptance of the updated Terms.
